Terms of Service

These Terms of Service (“Terms”) govern your use of TridSense — AI Bars & Bundles (the “App”), a Shopify application provided by TridSense, a sole proprietorship of Trideep Singh Chouhan(“TridSense,” “we,” “us”), based in Harda, Madhya Pradesh, India. Full registered address is available on request via support@tridsense.comfor service of legal process. By installing, accessing, or using the App, you (“you,” “merchant”) agree to be bound by these Terms. If you do not agree, do not install or use the App.

Quick summary. Use the App for its intended purpose, pay your subscription on time, don’t abuse the service, and we’ll keep it running. We’re not liable for losses beyond what you’ve paid us in the last 12 months. Indian law governs.

1. Acceptance of terms

Installing the App via the Shopify App Store, or otherwise accessing the App through your Shopify admin, constitutes your acceptance of these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of the service

The App provides cart progress bar functionality, milestone-based rewards, BOGO and bundle deal configuration, A/B testing, an AI chat assistant for question-answering and preview-then-confirm actions (Pro plan), analytics dashboards, and monthly performance reports. Specific features available depend on your subscription tier (Free, Basic, Plus, Pro). We reserve the right to add, modify, or retire features in our sole discretion, with reasonable notice for material changes.

3. Eligibility & merchant responsibilities

  • You must be a Shopify merchant with an active Shopify store.
  • You must be at least 18 years of age, or the age of legal majority in your jurisdiction.
  • You are responsible for keeping your Shopify admin credentials secure; we authenticate via Shopify OAuth and never store your password.
  • You are responsible for all activity that occurs under your shop’s installation of the App.
  • You are responsible for testing campaigns, discounts, and reward configurations in a development or preview context before activating them on live customer traffic.
  • You are responsible for honoring the milestones, rewards, and offers you configure and promote to your shoppers, including resolving any discount-application or fulfillment issues with your shoppers directly. The App applies the configuration you set; we do not guarantee shopper-side outcomes of that configuration.

4. Subscription, billing, and payment

  • Subscription fees are billed monthly via Shopify’s Billing API.
  • Plan tiers and pricing are listed on the Shopify App Store and within the App itself. Pricing may change with 30 days’ notice for new billing cycles.
  • The Free plan is available without a recurring charge.
  • Paid plans include a 14-day free trial. After the trial, your card on file with Shopify is charged the plan’s monthly price.
  • Refunds for paid subscriptions are handled by Shopify per their merchant terms. Pro-rata refunds are not generally provided for partial months.
  • If a payment fails, we may suspend access to paid features until the balance is paid.

5. Acceptable use

You agree not to:

  • Use the App for any unlawful purpose or in violation of Shopify’s Acceptable Use Policy
  • Reverse-engineer, decompile, or attempt to extract source code from the App
  • Resell, sublicense, or rebrand the App without our written consent
  • Use automated systems to extract data from the App at a rate inconsistent with normal merchant use
  • Misrepresent the App’s functionality to your shoppers (e.g., advertise milestones or rewards you don’t actually fulfill)
  • Use the AI Assistant to generate content that is illegal, defamatory, discriminatory, or violates third-party rights

6. Intellectual property

The App, its source code, design, branding, and the TridSense™ trademark (registration pending in India) are the exclusive property of Trideep Singh Chouhan, doing business as TridSense. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the App for the purpose of running your Shopify store, while your subscription is active.

You retain ownership of your shop data, products, customer data, and any content you create within the App. By using the App, you grant us a non-exclusive license to process your data solely as needed to provide the App’s functionality.

Where TridSense processes personal data on your behalf as a data processor — principally your account and staff details and your support messages, together with the pseudonymous storefront-analytics identifier described in our Privacy Policy — the terms of our Data Processing Addendum apply and are incorporated by reference into these Terms. The DPA prevails over any conflicting term in these Terms with respect to the processing of personal data.

7. AI Assistant

If you are on a plan that includes the AI Assistant, your prompts and the App’s analytics summary are sent to OpenAI for response generation. The Assistant supports read-only question-answering plus a preview-then-confirm flow for App actions you initiate (for example, activating a campaign); it never changes shop state on its own. Any suggestion is a starting point that requires your review and explicit confirmation before it takes effect. We do not guarantee accuracy or specific outcomes from AI responses. Conversation history is stored only in your browser and is not retained on our servers.

8. Termination

  • You may uninstall the App from your Shopify admin at any time. Uninstalling cancels any paid subscription at the end of the current billing cycle.
  • We may suspend or terminate your access if you breach these Terms, fail to pay subscription fees, or use the App in a way that causes harm to other merchants, shoppers, or our infrastructure.
  • Upon termination, your shop data is deleted within 48 hours per the GDPR shop/redact webhook flow described in our Privacy Policy.

9. Disclaimers

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or that it will produce specific revenue, conversion, or AOV outcomes for your store.

Data backup is your responsibility. You are responsible for maintaining backups of your shop data via Shopify’s standard mechanisms. The App’s database backups are operational (used for our disaster recovery) and are not customer-recoverable; we do not provide point-in-time restore for individual merchant configurations. Configure regular exports of your shop data, milestones, and analytics through Shopify or via the Privacy & Data export available in the App.

10. Limitation of liability

To the maximum extent permitted by applicable law, our aggregate liability for any claims arising out of or related to these Terms or your use of the App shall not exceed the amounts you paid us for the App in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence.

11. Indemnification

You agree to indemnify and hold harmless Trideep Singh Chouhan, operating as TridSense, and his agents and contractors from any third-party claims arising from: (a) your breach of these Terms, (b) your violation of applicable law, (c) your store’s products, content, or business practices, or (d) your misrepresentation of milestones, rewards, or campaigns to shoppers.

12. Governing law & dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Harda, Madhya Pradesh, India. Before commencing legal action, the parties agree to attempt good-faith resolution by writing to support@tridsense.com.

13. General provisions

13.1 Force majeure

Neither party will be liable for any delay or failure to perform any obligation under these Terms (other than your obligation to pay subscription fees that have already accrued) to the extent the delay or failure is caused by an event beyond that party’s reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, or interruptions of upstream service providers on which the App relies (including Shopify, Google Cloud Platform, and OpenAI). The party affected will use reasonable efforts to mitigate the impact and resume performance as promptly as practicable. If a force majeure event prevents either party’s material performance for more than 60 consecutive days, the unaffected party may terminate these Terms by written notice.

13.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, the parties intend that the provision shall be modified to the minimum extent necessary to make it enforceable, and otherwise shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

13.3 Survival

The following sections shall survive any termination or expiration of these Terms: 5 (Acceptable use), 6 (Intellectual property) with respect to the parties’ respective ownership rights, 9 (Disclaimers), 10 (Limitation of liability), 11 (Indemnification), 12 (Governing law & dispute resolution), and this Section 13. Any incorporated Data Processing Addendum survives in accordance with its own terms.

13.4 Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent; any such attempted assignment is void. We may assign these Terms in connection with a merger, acquisition, sale of all or substantially all of our business assets, or to a successor entity, on written notice to you.

13.5 Entire agreement

These Terms, together with our Privacy Policyand Data Processing Addendum, constitute the entire agreement between you and TridSense regarding the App and supersede any prior or contemporaneous agreements, communications, or representations, whether oral or written, on that subject.

13.6 No waiver

Our failure to enforce any provision of these Terms on any occasion does not waive our right to enforce that or any other provision on any other occasion. No waiver of any provision is effective unless in writing and signed by an authorized representative.

13.7 Independent contractors

The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between the parties. Neither party may bind the other or incur obligations on the other’s behalf without that party’s prior written consent.

14. Changes to these Terms

We may revise these Terms from time to time. Material changes will be announced via email to your shop owner address and via an in-app banner at least 30 days before they take effect. Continued use of the App after the effective date of revised Terms constitutes acceptance.
